Terms of Service

1. Acceptance of Terms & Parties

BID is a business intelligence software product owned and operated by Eventro Technologies Limited, a company incorporated under the laws of the Federal Republic of Nigeria.

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between Eventro Technologies Limited ("Eventro", "BID", "Company", "we", "us", or "our"), the operator of the Business Intelligence Desk platform, and the enterprise, entity, or individual accessing or utilizing the service ("Customer", "Subscriber", "you", or "your").

By creating an organization account, enrolling in a trial, purchasing a subscription, or accessing any part of the BID platform via web browser, progressive web app, or programmatic interface, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company or other legal entity, you represent and warrant that you possess the legal authority to bind such entity.

2. Service Provision & 14-Day Evaluation Trial

BID provides an autonomous business intelligence operating platform that ingests, verifies, synthesizes, and alerts organizations regarding competitive, regulatory, market, and operational movements ("Service").

Evaluation Trial: New organizations may be granted access to a 14-day free trial of the Service. The trial is provided exclusively for internal evaluation purposes. Upon expiration of the 14-day evaluation period, continued access to automated continuous monitors, ACT decision playbooks, and Ask BID synthesis requires conversion to a paid subscription plan.

3. Multi-Tenant Accounts & User Roles

Access to BID is scoped by distinct organization tenants. Each organization designates an Owner who holds primary administrative, billing, and membership authorization.

• Owner: Full authority to manage billing, invite and remove users, assign operational roles, configure web monitors, and execute tenant deletion.
• Analyst: Authority to commission deep research dossiers, initiate monitor scans, formulate ACT decision playbooks, and review intelligence items.
• Member: Read-only access to published intelligence items, Business Pulse dashboards, and organization-wide briefings.

Customer is responsible for safeguarding user account credentials and for all activities executed under its organization tenant. You agree to notify BID immediately at security@bid.desk upon learning of any unauthorized access or compromise.

4. Subscription Plans, Intelligence Credits & Billing

Merchant of Record & Payments: Payments for BID subscriptions, intelligence credits, and commercial invoices are processed and contracted by Eventro Technologies Limited.

Billing Cycles: The Service is billed in advance on a recurring monthly or annual basis depending on your selected tier (Starter Desk, Professional Desk, or Enterprise Desk).

Intelligence Credits: Each subscription tier includes a designated monthly allocation of Intelligence Credits consumed by autonomous web scans, Ask BID natural-language syntheses, ACT decision formulation, and on-demand deep research dossiers. Unused monthly baseline credits expire at the conclusion of each billing cycle unless specified otherwise in an Enterprise Service Level Agreement. Top-up credit packs remain active for twelve (12) months from date of purchase.

Cancellation & Refunds: You may cancel your subscription at any time via the billing settings. Cancellation takes effect at the end of the current prepaid billing period. Except where required by applicable law, payments are non-refundable, and no pro-rata refunds will be provided for partial months or unused credits.

5. Intellectual Property & Ownership of Customer Data

Customer Proprietary Data: As between Customer and BID, Customer retains all right, title, and interest (including all patent, copyright, trade secret, and other intellectual property rights) in and to all proprietary company data, business profile configurations, tracked entity lists, custom internal documents, and generated intelligence reports produced specifically for Customer's tenant ("Customer Data"). Customer grants BID a limited, non-exclusive license to host, parse, and process Customer Data solely as necessary to operate and deliver the Service to Customer.

BID Platform Rights: Eventro Technologies Limited retains all right, title, and interest in and to the BID software, user interface design, proprietary algorithms (including the Business Pulse index and ACT engine), databases, documentation, and all enhancements, bug fixes, or modifications thereto.

7. Acceptable Use & Prohibited Conduct

Customer agrees not to misuse the Service. Specifically, Customer shall not:

• Reverse engineer, decompile, disassemble, or attempt to derive source code from the BID platform or underlying microservices;
• Systematically scrape, mirror, or extract data from the BID platform using automated scrapers or bots without prior written approval;
• Circumvent or attempt to bypass tenant isolation controls, authentication mechanisms, or credit consumption limits;
• Configure monitors or queries targeting illegal surveillance, harassment, dissemination of non-public personal information (PII) without lawful basis, or violations of applicable privacy regulations;
• Introduce malware, viruses, worms, or malicious prompt injection payloads designed to manipulate AI reasoning or extract host system instructions.

8. AI Accuracy Disclaimer & Executive Discretion

Decision-Support Tool Only: BID utilizes advanced statistical crawlers, automated natural language processing, and heuristics to ingest and synthesize public market information. While we enforce strict multi-source cross-verification and tier-1 citation requirements, the Service is provided as an executive decision-support system, not as a substitute for professional legal, financial, accounting, or regulatory counsel.

Customer expressly acknowledges that all commercial, pricing, contractual, strategic, and operational actions taken in connection with intelligence items, ACT playbooks, or Business Pulse scores are executed solely under Customer's independent managerial judgment and corporate risk tolerance. Eventro Technologies Limited disclaims all liability for commercial outcomes, missed business opportunities, or regulatory sanctions resulting from actions or inactions guided by the Service.

9. Service Availability & Uptime

We target a continuous 99.9% uptime for the core application and data ingestion pipeline, excluding scheduled maintenance windows announced at least 24 hours in advance. While we employ automated multi-region failover and PostgreSQL high-availability replication, we do not warrant that service will be uninterrupted, error-free, or entirely resilient to catastrophic public internet disruptions or external search provider outages.

10. Limitation of Liability & Indemnity

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EVENTRO TECHNOLOGIES LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS REPUTATION) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT FOR ALL CLAIMS OF ANY KIND SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO EVENTRO TECHNOLOGIES LIMITED FOR THE SPECIFIC SERVICE IN THE TWELVE (12) MONTH PERIOD PRECEDING THE INCIDENT GIVING RISE TO LIABILITY.

11. Term, Termination & Cryptographic Data Purge

This Agreement remains in effect until terminated by either party. Upon cancellation or termination of Customer's subscription:

• Customer retains thirty (30) days from the effective date of termination to export all stored intelligence dossiers, decision matrices, and library items in standard formats (JSON/CSV/PDF).
• Following the 30-day grace period, BID permanently executes a cryptographic purge of all Customer Data, database records, and monitor historical logs from active servers and backups within sixty (60) days.

12. Governing Law & Binding Commercial Arbitration

These Terms and any disputes arising out of or related to this Agreement shall be governed by and construed in accordance with the commercial laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles. Any controversy or claim arising out of or relating to this contract, or the breach thereof, shall be resolved by final and binding commercial arbitration administered under the Arbitration and Mediation Act, conducted in Lagos, Nigeria, in the English language.
